ONCA - Did You Know?

1. Staying Connected - Ontario nonprofits have until September 30-2023 to hold their board meetings or members’ meetings electronically/online or by phone, even when contraindicated in their bylaws say they cannot. Will this be extended again? Let's hope so.

2. Your Key Tasks - Ontario nonprofits have until October 19-2024 to update their Articles of Incorporation & By-laws to comply with ONCA. If your current governing documents are valid under previous law (often the Ontario Corporations Act) then they still are. If an issue was/is not addressed in your articles and bylaws, your nonprofit must now comply with the pertinent ONCA rule.

Discussion -Many nonprofits may be well on their way to meeting this target. Many overwhelmed and under-resourced nfps haven’t started the journey. Your own legal counsel is your top resource for amending your Articles of Incorporation (AKA Letters Patent – the ONCA only uses the term Articles of Incorporation), and your By-law(s). Amending on your own? Make sure to be absolutely certain you are complying with all the ONCA requirements (213 sections plus Schedules). There is a Default By-law document on the government website - however it only addresses basic areas. You would have to adapt + frequently refer to the actual legislation for a multitude of issues over time. Also note - all nonprofits are required to register on the new Ontario Business Registry.
