ONCA - Ontario's Nonprofit Legislation Takes its Place in History

Celebrating the Proclamation of ONCA

Did your nonprofit grab ONCA by the horns in 2010, buy in, then watch 10 years go by without it coming into force? You are not alone. Some charities and nonprofits amended By-law(s) and may have even done so without expert counsel... especially very small NFPs. Well, it may be time to plan a re-think about your By-law.

Ontario's Nonprofit Corporations Act is being proclaimed / coming into force October 19th 2021. Yes, it's true. For real this time. No need to panic - You do not need to take any urgent action. However, serious dicussion about modernizing your By-law(s) and preparing to re-evaluate your Articles of Incorporation (Letters Patent), among other things, should be on your agenda within the next 6 months to a year.

You will have 3 years to comply, and you do not want to leave it to the last minute. Ideally, your Board and Leadership team will take advantage of the need to refresh your By-law(s), to:

• engage in some valuable team discussion about your current and future agency practices
• do some professional/board development.*

In the meantime, this historic legislative change is worth celebrating, as Ontario's nonprofits and charities get poised for greater success within a new legal framework and online support.

*Client Centered Governance Board-Leadership Teams collaborate to work through By-law amendments and full refresh, using the experience as a learning opp., team-building, new member orientation and risk management.

What about this new "Business Registry"?

It's about online support and modernizing the way we all do business. Your agency will want to register asap for the new Ontario Business registry. All nonprofits will be required to document/share data in this new registry, created to improve efficiency and support 24/7 access to services for corporations and businesses.

This should prove to be a time and cost-saving change for charities and not for profits. Ontario nonprofit corporations can register to receive more information and instructions on how to access the Business Registry once it goes live.
